OVERVIEW Welcome to Vantic Labs. The terms “we”, “us” and “our” refer to Kuat Optimum Inc., operating under the brand name Vantic Labs. Kuat Optimum Inc. owns and operates this website and online infrastructure, including all related information, content, features, tools, products, and services (collectively, the “Services”).

Vantic Labs utilizes Shopify to provide the e-commerce platform enabling us to offer optimization tools and services to you. These Terms of Service (the “Terms”) govern your access to and use of our Services, including browsing our website, executing purchases, and interacting with our content.

By accessing, visiting, or purchasing from our network, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these operational protocols, you may not access or use the Services. These Terms apply to all users, including browsers, vendors, customers, merchants, and contributors of content.

SECTION 1 – ACCESS AND ACCOUNT

To utilize specific features of our Services, you may be required to register an account. By registering, you agree to:

  • Provide accurate, current, and complete data during registration and checkout;
  • Maintain and promptly update your information to ensure its accuracy;
  • Keep your account credentials secure and strictly confidential; and
  • Accept full responsibility for all activities executed under your account.

You may not transfer, assign, or sell your account authorization to another party without our written consent. If we determine the information you provide is false, incomplete, or violates these Terms, we maintain the right to suspend or terminate your account.

By agreeing to these Terms, you confirm you are at least the age of majority in your jurisdiction of residence. If you permit a minor dependent to use your account, you remain fully liable for their actions and compliance with these Terms.

SECTION 2 – OUR PRODUCTS

We implement strict quality control to ensure product descriptions, technical specifications, and imagery are accurate. However, due to device display variances, manufacturing iterations, or supply chain updates, actual product appearance may differ slightly from the provided data.

We reserve the right to:

  • Modify or discontinue any equipment or protocol without prior notice;
  • Limit the distribution of products to specific regions, jurisdictions, or individuals;
  • Restrict product quantities or enforce purchase limits per customer.

We do not warrant that product quality, performance, or results will meet your subjective expectations. All representations regarding our products (particularly nutritional and bio-optimization items) are generalized data and do not constitute guarantees of specific medical or health outcomes.

SECTION 3 – ORDERS

Executing an order constitutes an offer to purchase. Kuat Optimum Inc. reserves the right to accept or reject any order at its sole discretion. An order is not binding until we transmit confirmation of acceptance and payment is successfully processed.

We will refuse or cancel orders if we detect:

  • Fraudulent, unauthorized, or anomalous payment activity;
  • Orders executed for resale or commercial distribution without authorization;
  • Inaccuracies in product specifications or pricing data;
  • Inventory depletion.

You are responsible for verifying all data prior to submitting your order. Once submitted, orders cannot always be intercepted for modification or cancellation. All returns are strictly governed by our Return Policy.

SECTION 4 – PRICES AND BILLING

All financial figures are presented in USD unless otherwise specified. One-time acquisition prices may be adjusted at any time without prior notice. Subscription pricing may be updated, with enrolled users receiving notification a minimum of 7 days in advance.

Promotions, discounts, or access codes are subject to separate parameters, which supersede these Terms in the event of a conflict.

You agree to provide valid, active payment credentials at checkout. By submitting this data, you represent and warrant that you:

  • Are fully authorized to utilize the provided payment method;
  • Authorize Kuat Optimum Inc. to process charges for the total order value;
  • Will honor all associated charges, including applicable taxes, shipping, and operational fees.

If a payment is declined, fulfillment protocols will be suspended. We reserve the right to restrict or cancel orders utilizing identical billing, shipping, or payment parameters.

SECTION 4A – BILLING TERMS (VIP MEMBERSHIP)

By authorizing a monthly recurring order for our VIP Club, you will be charged $49.99 USD immediately, and every 28 days thereafter until the subscription is terminated. You will receive an electronic notification 5 to 7 days prior to each transaction cycle and a receipt upon successful processing.

If you affirmatively accept the optional Vantic Labs VIP offer during checkout, you agree to enroll in a monthly, auto-renewing membership (the “VIP Membership”). By enrolling, you authorize Kuat Optimum Inc. to charge your provided payment method the VIP price disclosed at checkout (plus applicable taxes and fees) once every 28 days until cancellation.

Your initial VIP charge executes on the enrollment date. Subsequent billing cycles recur approximately every 28 days. Exact pricing and promotional parameters are displayed at checkout and on your confirmation receipt; pricing may vary by specific offer and will always be verified prior to enrollment.

You may cancel anytime prior to the next renewal cycle by contacting our support team via the Contact page, emailing contact@vantic-labs.com, or calling +1 (888) 807-4863. Cancellations are effective at the conclusion of your current paid term; partial-period refunds are not issued unless mandated by applicable law.

If you do not accept the VIP offer, your transaction will be processed as a one-time sale and you will not be enrolled in any recurring billing protocols.

You agree to maintain accurate billing data. We reserve the right to terminate or refuse renewal of the VIP Membership at our operational discretion.

Failed Payment & Retry Recovery Protocol If a scheduled VIP Membership charge is declined, you authorize our billing system to attempt payment recovery utilizing reduced authorization tiers. Specifically, if the primary $49.99 USD charge fails, we may attempt a recovery charge of $28.95 USD. If that attempt fails, the system may attempt a secondary recovery of $14.95 USD, followed by a final recovery attempt of $4.95 USD. These recovery protocols are executed to maintain continuity of your VIP access and may occur without supplementary notice. If all recovery tiers fail, VIP Membership privileges will be suspended or permanently cancelled.

SECTION 4B – BILLING TERMS (ONE-TIME PURCHASES)

If you elect a one-time purchase during checkout and do not opt into the VIP offer, you will be charged only once for the total value displayed (inclusive of taxes, shipping, and fees). No secondary or recurring charges will be processed against your payment method following this transaction.

One-time purchase payments are captured immediately upon order confirmation. Your execution of payment authorizes Kuat Optimum Inc. to process the total displayed amount. Upon approval, your order will enter the fulfillment queue as outlined in our Shipping Policy.

By completing a one-time purchase, you acknowledge the transaction is fully isolated from any subscription or recurring billing plan. Future enrollment in the VIP Membership requires separate, explicit opt-in authorization.

SECTION 5 – SHIPPING AND DELIVERY

Shipments are routed to the destination address provided during checkout. Estimated delivery timelines are calculated for convenience and do not constitute guaranteed delivery dates. Transit anomalies may occur due to:

  • Carrier network issues;
  • Customs inspections or jurisdictional import restrictions;
  • Force majeure events (weather, natural disasters, labor strikes).

Once equipment is transferred to the carrier, title and risk of loss transfer to the customer. We assume no liability for stolen, delayed, or damaged shipments actively in transit. The customer is strictly liable for any customs duties, taxes, or import levies applied by their local jurisdiction.

SECTION 6 – INTELLECTUAL PROPERTY

All content hosted on the Services—including technical data, trademarks, trade names, designs, logos, text, product descriptions, imagery, video, and underlying code—is the exclusive intellectual property of Kuat Optimum Inc., Vantic Labs, or authorized licensors.

You are granted a limited, non-exclusive, revocable license to access the Services for personal, non-commercial utilization. You are strictly prohibited from:

  • Copying, reproducing, or distributing content without explicit written consent;
  • Creating derivative works or reverse-engineering the platform architecture;
  • Utilizing our trademarks, logos, or brand assets without authorization.

Unauthorized utilization constitutes a violation of copyright and intellectual property law and will result in immediate legal action.

SECTION 7 – OPTIONAL TOOLS

We may provide access to third-party tools or software over which we maintain no operational control. These are provided “as is” without warranties or guarantees of any kind. You acknowledge that Kuat Optimum Inc. assumes no liability for your utilization of third-party tools, and you are responsible for reviewing their respective terms of service before deployment.

SECTION 8 – THIRD-PARTY LINKS

Our Services may feature routing links to third-party domains, applications, or services. We do not examine or evaluate third-party materials and assume no liability for your interaction with external networks. Accessing third-party sites is executed at your own risk.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Vantic Labs utilizes the Shopify infrastructure. While Shopify provides the e-commerce architecture, all sales contracts are executed directly with Kuat Optimum Inc. Shopify assumes no responsibility for product fulfillment, refunds, or operational disputes. You expressly release Shopify from any liability related to your transactions with Kuat Optimum Inc.

SECTION 10 – PRIVACY POLICY

Utilization of our Services is strictly governed by our Privacy Policy, detailing data collection, processing, and protection protocols. As our infrastructure is hosted by Shopify, Shopify may concurrently collect and process data. By utilizing the Services, you explicitly consent to data handling by both Kuat Optimum Inc. and Shopify.

SECTION 11 – FEEDBACK

Any concepts, suggestions, or technical reviews submitted to our team may be utilized without restriction. By submitting such data, you grant Kuat Optimum Inc. a worldwide, royalty-free, perpetual license to utilize, modify, publish, or distribute the submission across any medium. You warrant that your submissions do not infringe upon third-party rights and comply with all applicable statutes.

SECTION 12 – ERRORS, INACCURACIES, OMISSIONS

Our Services may occasionally display typographical errors, technical inaccuracies, or data omissions regarding pricing, promotions, or inventory availability. We reserve the absolute right to correct errors and update or cancel orders without prior notice, including after order submission.

SECTION 13 – PROHIBITED USES

You are strictly prohibited from misusing the Services. Violations include, but are not limited to:

  • Executing unlawful, fraudulent, or malicious activity;
  • Infringing upon intellectual property rights;
  • Deploying viruses, malware, or destructive code;
  • Impersonating personnel or misrepresenting corporate affiliation;
  • Harvesting data from other users without explicit consent;
  • Attempting to bypass security protocols or gain unauthorized server access.

Detection of prohibited conduct will result in the immediate termination of your access to the Services.

SECTION 14 – TERMINATION

We maintain the right to suspend or terminate your access to the Services at our sole discretion, without prior notice, for any violation of these Terms or applicable law. Upon termination, all outstanding obligations, including financial liabilities, remain fully enforceable.

SECTION 15 – DISCLAIMER OF WARRANTIES

The Services and all distributed equipment are provided “as is” and “as available,” devoid of warranties, either express or implied. We do not guarantee that the Services will operate uninterrupted, secure, or error-free, nor do we guarantee subjective results from product utilization.

SECTION 16 – LIMITATION OF LIABILITY

To the maximum extent permitted by law, Kuat Optimum Inc., Vantic Labs, its affiliates, officers, employees, and Shopify shall assume no liability for any indirect, incidental, special, punitive, or consequential damages—including lost profits, data corruption, or operational interruption—even if advised of such possibilities.

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Kuat Optimum Inc., Vantic Labs, Shopify, and their respective affiliates, officers, employees, and agents against any claims, damages, liabilities, or expenses arising out of your utilization of the Services, violation of these Terms, or infringement of third-party rights.

SECTION 18 – SEVERABILITY

If any provision within these Terms is deemed legally unenforceable, the remaining provisions shall remain fully active and enforceable to the maximum extent permitted by law.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Failure to actively enforce any right under these Terms does not constitute a waiver of that right. These Terms and our posted policies constitute the entire operational agreement between you and Kuat Optimum Inc., superseding all prior communications or agreements.

SECTION 20 – ASSIGNMENT

You may not assign or transfer your rights or operational obligations under these Terms without our explicit written consent. Kuat Optimum Inc. may freely assign or transfer our rights and obligations without supplementary notice.

SECTION 21 – GOVERNING LAW

These Terms are strictly governed by and construed in accordance with the laws of the jurisdiction where Kuat Optimum Inc. is headquartered. You consent to the exclusive jurisdiction of courts within that location for the resolution of any disputes.

SECTION 23 – CHANGES TO TERMS

Kuat Optimum Inc. reserves the right to modify these Terms at any time. Updated iterations will be published on our domain with a revised effective date. Continued utilization of the Services following updates constitutes explicit acceptance of the revised Terms.
